1. Introduction and Acceptance
1.1. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Seller", "you", "your") and Shipagent Express Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 219 2F ILD Trade Centre Sector 47, Sohna Road, Gurugram Haryana-122018operating under the brand name "ShipAgent" ("Company", "ShipAgent", "we", "us", "our").
1.2. ShipAgent operates a multi-carrier logistics orchestration platform ("Platform") enabling registered businesses ("Sellers") to compare shipping rates across domestic and international Courier Partners, book shipments, orchestrate multi-leg transit journeys, generate shipping labels & manifests, track shipments in real-time, manage NDR/returns, process COD remittances, manage prepaid digital wallets, and access shipping APIs.
1.3. Logistics Aggregation Disclaimer: ShipAgent is a technology platform and logistics aggregator. ShipAgent does NOT itself provide physical transportation, warehousing, customs brokerage, freight forwarding, insurance underwriting, or delivery services. Transportation is performed by independent third-party Courier Partners.
1.4. By registering on or using the Platform, you represent and warrant that you have read, understood, and agreed to these Terms and possess full legal authority to enter into this contract.

3. Agreement Structure & Incorporated Policies
This Agreement incorporates by reference all platform policies including the Privacy Policy, Refunds & Cancellation Policy, Wallet Policy, Acceptable Use Policy, API Terms, and operational SOPs published on the Platform.
4. Account Eligibility & KYC Verification
4.1 Eligibility: Must be at least 18 years old, possess valid GSTIN/PAN (for Indian commercial entities), and have legal capacity under the Indian Contract Act, 1872.
4.2 KYC Verification: ShipAgent mandates mandatory KYC (GSTIN, PAN, Bank details, IEC Code for cross-border shipping) prior to processing COD remittances, wallet withdrawals, or high-volume API access.
4.3 Suspension Grounds: Fraudulent document submission, unauthorized credential sharing, API scraping, prohibited goods shipment, or un-cleared negative wallet balances trigger immediate suspension.
5. Platform Logistics Services
5.1. Rate Engine: Rate quotes shown on the Platform are estimated based on declared parameters. Final freight charges depend on audited weight, carrier fuel surcharges, and destination pincode serviceability.
5.2. Multi-Carrier Journeys: For complex or international routes, ShipAgent assigns separate carriers per transit leg. Master Tracking links all carrier AWBs into one timeline.
5.3. Labels & Manifest: Sellers must print clear shipping labels and close manifests prior to pickup cutoff times. Pickup scheduling remains subject to local carrier availability.
6. Marketplace & Platform Integrations
ShipAgent integrates with Shopify, WooCommerce, Amazon Seller Central, Flipkart, Blinkit, and custom ERPs. ShipAgent is not responsible for third-party platform API outages, channel rate-limiting, or order sync latency originating outside ShipAgent infrastructure.
7. API Terms of Use & Webhooks
• API credentials must be secured. Do not expose secret keys in client-side code.
• Rate limits apply based on subscription tier. Automated scraping triggers IP blocks.
• Webhook endpoints must validate HMAC signatures sent in HTTP headers.
8. Prepaid Wallet, Charges & Deductions
8.1. Prepaid Facility: ShipAgent operates exclusively on a prepaid wallet model. Wallet balances do not earn interest and do not constitute a bank deposit under RBI regulations.
8.2. Deduction Items: Shipping freight, fuel surcharges, COD handling fees, shipment insurance, weight discrepancy surcharges, RTO charges, and applicable GST are automatically debited from the Wallet.
8.3. Negative Balance Offset: In case of weight surcharges exceeding wallet balance, ShipAgent may offset negative balances against incoming COD remittances or future recharges.
9. Weight Disputes & Reconciliation
Crucial Operational Terms9.1. Chargeable weight is calculated as the higher of Actual Weight or Volumetric Weight:
• Discrepancy Notification: When carrier weight exceeds declared weight, extra freight is debited.
• 7-Day Dispute Window: Sellers can challenge weight discrepancies within 7 days of debit by providing clear photographs of the package on a calibrated scale displaying the AWB label.
• Repeated Under-declaration: Persistent under-declaration of package weight may result in account penalties or termination.
10. COD Collection & Remittance Rules
10.1. Remittance Cycle:COD funds collected by courier partners are remitted to the Seller's verified bank account or credited to the Wallet within T+2 to T+8 business days following delivery confirmation.
10.2. Fraud Hold: ShipAgent reserves the right to hold COD remittances in cases of suspected fake orders, buyer fraud investigations, or legal attachment orders.
11. Customs & Cross-Border Compliance
11.1. IEC & Customs Docs: Sellers exporting internationally must maintain a valid IEC, correct HS code classification, and accurate Commercial Invoices.
11.2. Duties & Penalties:Import/export duties assessed by foreign customs authorities are the sole responsibility of the Seller or recipient. Any customs fines charged back to ShipAgent will be debited from the Seller's wallet.
14. Prohibited & Restricted Items
Strict Compliance RequiredSellers MUST NOT ship: Narcotics, explosives, firearms, hazardous/flammable liquids, counterfeit goods, currency notes, live animals, biological specimen, illegal pharmaceuticals, dual-use goods without licenses, or items prohibited under the Indian Post Office Act, 1898 or IATA dangerous goods regulations.
16. Limitation of Liability
To the maximum extent permitted by applicable law, ShipAgent's total aggregate liability for any claims under these Terms shall not exceed the total platform fees paid by the Seller to ShipAgent in the 6 months preceding the event giving rise to liability.
17. Indemnification
Sellers agree to defend, indemnify, and hold harmless ShipAgent, its directors, officers, and employees against any third-party claims, legal fees, or regulatory penalties arising from prohibited goods shipments, incorrect customs documentation, or tax non-compliance.
26. Dispute Resolution & Arbitration
26.1. Grievances: All disputes must first be submitted to hello@shipagent.in for informal resolution within 30 days.
26.2. Arbitration: Unresolved disputes shall be settled by binding arbitration in Gurgaon, Haryana, under the Arbitration and Conciliation Act, 1996 in English.
